These terms and conditions apply to all services, quotations, and agreements of LUNIDEV, located in 9420 Erpe-Mere, Belgium. By using our services, you agree to these terms.
"LUNIDEV" refers to LUNIDEV, represented by Tom Van den Driessche, 9420 Erpe-Mere, Belgium. "Client" refers to the natural or legal person entering into an agreement with LUNIDEV. "Services" includes web development, automation, AI integration, hosting, maintenance, and related services.
All quotations are non-binding and valid for 30 days unless stated otherwise. An agreement is established upon written confirmation (including email) by both parties. Changes in scope are documented in writing and may affect the price and delivery timeline.
All prices are exclusive of VAT unless stated otherwise. Invoicing is done according to the agreements in the quotation: typically 30% at the start and 70% upon delivery, unless otherwise agreed. Payment term is 14 days after invoice date. In case of late payment, a reminder will be sent, followed by statutory interest.
Delivery timelines are always considered indicative unless explicitly agreed otherwise. LUNIDEV makes every effort to respect agreed deadlines. Delays due to force majeure, incomplete information from the client, or scope changes do not entitle the client to compensation.
The client provides all required materials, information, access, and feedback in a timely manner. Delays caused by the absence thereof fall outside LUNIDEV's responsibility and may affect the delivery timeline.
Upon full payment, ownership rights to code and designs specifically developed for the client are transferred to the client. LUNIDEV retains the right to use frameworks, libraries, reusable components, and general methodologies for other projects. LUNIDEV may reference the project in its portfolio unless otherwise agreed in writing.
If LUNIDEV provides hosting and/or maintenance, the terms are specified in the quotation or a separate SLA. LUNIDEV strives for maximum uptime but does not guarantee 100% availability. Hosting may be billed monthly or annually.
LUNIDEV is only liable for direct damages resulting from demonstrable shortcomings. Liability is limited to the amount invoiced for the specific assignment. LUNIDEV is not liable for indirect damages, consequential damages, lost profits, or data loss.
In cases of force majeure (including but not limited to power outages, internet disruptions, illness, natural disasters, pandemics, or government measures), LUNIDEV is not obligated to fulfill its obligations. In case of prolonged force majeure (more than 60 days), either party may terminate the agreement without compensation.
Either party may terminate the agreement in writing with a 30-day notice period, unless otherwise agreed. In case of early termination, work already delivered and costs incurred will be invoiced. Active hosting contracts continue until the end of the paid period.
Both parties treat confidential information as such and do not share it with third parties without consent. This obligation remains valid after termination of the agreement.
All agreements are governed by Belgian law. Disputes are preferably resolved by mutual consultation. If this is not possible, the court of Dendermonde has jurisdiction.
